Counsel’s response regarding the role of  “Superintendents” referenced in Article VIII does provide that the three Superintendents are collectively the Program Administrator.  However, from the very beginning of the operation of the JPA, a single Superintendent has been designated by the Board to act on behalf of the collective.  Article VIII provides that “the power to act on the Authority’s behalf hereby delegated to the Program Administrator shall be subject to the Authority’s general direction, guidelines, and oversight.”  Further, it says that the Program Administrator may employ agents to perform its duties and exercise its powers.  The Board’s resolution, effectively, is its direction to the collective to employ you as their agent to perform the program administration function.
